Objects, Powers and Duties

Objects

The only objects for which the Company (SAS Historical Foundation) is established are the charitable objects of providing money, property and other benefits to the Museum (SAS Historical Collection) in the manner set out below and in such other manner as may be requested by the Museum and agreed by the Company.

Powers

In order to carry out the above objects the Company may, subject always to the limitations in the preceding paragraph:

  • display Items and contribute to displays of Items;
  • assist in the administration and maintenance of Items;
  • accept, receive, control, care for, preserve, store and manage Items given, sold or loaned to the Museum or to the Company for the purpose of the Museum;
  • assist in the provision of curatorial and interpretive support for appropriate Museum Sites;
  • utilise the Collection so as to assist Army by supporting morale, indoctrination and training within Army;
  • solicit, coordinate and manage fund raising, sponsorship, charitable fund raising, and other non-public resourcing activities for the purposes set out in the above objects;
  • arrange for funding or supplementary funding for the conservation, interpretation and display of Items;
  • support and promote the continuous development of the Museum;
  • contribute towards the acquisition and maintenance of memorials, portraits, statues, plaques and other commemorative devices relevant to the above objects;
  • obtain, by purchase, loan or otherwise Items of historical or technical interest to the Army and the defence of Australia;
  • obtain, by purchase, loan or otherwise Items of historical or technological utility for indoctrination, training or education purposes at a Museum Site;
  • take over the assets and liabilities of some present associations and trusts (such as, but not necessarily and not limited to any Museum Society or Trust) and some existing Army Museum non-public money accounts (such as but not necessarily and not limited to, any Museum Shop), and to apply those assets to the above objects;
  • assist the Museum to establish and administer a historical and technical information collection of documents and Items with facilities that provide controlled access for study and research;
  • undertake initiatives designed to inform, educate and induce the participation of the community in the activities of the Company and the Museum;
  • undertake in conjunction with the Museum initiatives which support the following: the production and publication of historical works, such as histories, oral histories or biographies of formations, units, sub-units or persons within the Army; and; the production of audio-visual recordings of ceremonial and historical activities for the purposes of community, commemorative or educational utility in relation to activities of the Museum;
  • carry out activities which are incidental or conducive to the above objects, and no others.

Duties

In order to carry out the above objects the Company must:

  • invite contributions from the public;
  • issue receipts in the name of the Company with respect to all contributions received;
  • deposit all income of the Company and all monetary donations received by the Company into the Company's bank account only;
  • make payments from the Company's bank account only:
  • for the provision of funding the Museum;
  • for the reimbursement of out-of-pocket expenses incurred on behalf of the Company;
  • to comply with statutory requirements necessarily incurred to enable the Company to comply with the above objects;
  • for proper remuneration for administrative services but this shall not include paying fees to directors; or
  • for investment in accordance with the other provisions of this Constitution; and
  • operate on a non-profit basis and no moneys to be distributed to members of any relevant managing committee or directors of the Company other than as set out in the preceding paragraph.
